These Terms of Service ("Terms") govern your access to and use of the websites, products, and services provided by Synodician, Inc. ("Synodician," "we," "us," or "our"), including the Basirah platform. By accessing or using our services, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using our services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using our services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you must not access or use our services.
2. Use of Services
You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:
- Use our services in any way that violates applicable local, state, national, or international law or regulation
- Attempt to gain unauthorized access to any part of our services, systems, or networks
- Interfere with or disrupt the integrity or performance of our services
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of our software
- Use our services to transmit malware, viruses, or other harmful code
- Use automated systems (bots, scrapers, crawlers) to access our services without prior written consent
- Resell, sublicense, or distribute our services without our explicit authorization
- Misrepresent your identity or affiliation with any person or organization
We reserve the right to terminate or suspend your access to our services at any time, without prior notice or liability, for any reason, including breach of these Terms.
3. User Accounts
To access certain features of our services, you may be required to create an account. When creating an account, you agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information to keep it accurate and complete
- Maintain the security and confidentiality of your login credentials
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account or any other security breach
You are solely responsible for safeguarding the credentials used to access your account. We will not be liable for any loss or damage arising from your failure to maintain the security of your account.
4. Intellectual Property
Our services, including all content, features, and functionality (including but not limited to text, graphics, logos, icons, images, audio clips, data compilations, software, and the compilation thereof), are owned by Synodician, its licensors, or other providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
These Terms do not grant you any right, title, or interest in our services or any content therein, except for the limited right to use our services in accordance with these Terms. Synodician and Basirah are trademarks of Synodician, Inc. You may not use our trademarks without our prior written consent.
You retain ownership of any data or content you submit through our services. By submitting content, you grant us a limited license to use, process, and store that content solely for the purpose of providing our services to you.
5. Service Levels and Support
Synodician provides commercially reasonable efforts to maintain the availability and performance of our services. Specific service level commitments, including uptime targets, support response times, and remediation windows, are detailed on our Security page.
Enterprise customers may negotiate custom Service Level Agreements (SLAs) as part of their subscription agreement. Contact sales@synodician.com for details.
6. Termination
Either party may terminate these Terms at any time by providing written notice to the other party. Upon termination:
- Your access to our services will be revoked at the end of your current billing period.
- Data export: You may request an export of your data in a standard, machine-readable format (JSON or CSV) for up to 30 days following termination. After this period, your data will be permanently deleted in accordance with our data retention policy.
- Sections that by their nature should survive termination (intellectual property, limitation of liability, governing law) will continue to apply.
Synodician may immediately suspend or terminate your access if you materially breach these Terms or if your use poses a security risk to our platform or other customers.
7. Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall Synodician, its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, data, use, goodwill, or other intangible losses
- Damages resulting from unauthorized access to or alteration of your transmissions or data
- Damages resulting from any interruption or cessation of our services
- Damages resulting from any third-party content or services accessed through our platform
Our total aggregate liability for all claims arising out of or relating to these Terms or the use of our services shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.
Our services are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Delaware, and you consent to the personal jurisdiction of such courts.
Any dispute arising from these Terms that cannot be resolved through good-faith negotiation shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.
9. Changes to Terms
We reserve the right to modify these Terms at any time at our sole discretion. If we make material changes to these Terms, we will provide notice through our services or by other means to provide you with the opportunity to review the changes before they become effective.
Your continued use of our services after any such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using our services.
